■Primary Function / Primary Goals / Objectives The primary functions of Legal are ( i ) to provide legal consultation, advice concerning business transactions (including examining them from the point of law;e.g. Commercial Code, Civil Code and Anti-trust Law, and guidelines), (ii) to formulate and assist in formulating, examine/revise contracts, and (iii) to assist for Corporate Organization and Management , (iv) to judge the necessity of consulting with outside legal advisers in the process of (i)〜(iii) mentioned above and get their advice in a timely manner, and (v) to educate employees concerning ethics and law, in order to resolve various legal issues that may arise, or prevent them from becoming problems, and in these processes, to nourish the legal mind-set to the employees. Also, Legal is strongly expected to be deeply involved in Compliance Management and has responsibility to take initiatives in internal Compliance Committee and to facilitate compliance on company-wide basis.
■Core Job Responsibilities / Accountability / Scope (Major Duties and Responsibilities) 1. To provide legal advice to other Headquarters/groups in the company when they negotiate with third parties. 2. To formulate, assist in formulating, examine/revise the agreements for the responsible Headquarters/groups. 3. To consult with other Headquarters/groups regarding various legal issues which might occur in the company, and resolve them, or prevent them from becoming problems. 4. To be a responsible contact with the Law Firms. 5. To firmly establish and saturate,a mind-set of compliance of the laws and compliance of the ethics, including the Laboratories Code of Business Conduct. |
